Architecture and Engineering Practice Valuation in Adelaide

Structural, civil, building services and architecture practices that earn one commission at a time: valued on what a normal run of projects produces, not on the year a big job happened to land.

An Adelaide architecture or engineering practice is valued by costing each principal at a market salary and capitalising the earnings the practice holds across a full cycle of commissions, normally five years of results. Since fees come project by project, the risk loading depends on how much future work is actually signed, how reliably unbilled fees are collected, and how much of the practice rests on one or two senior people.

What brings an Adelaide practice to a valuer

Most requests follow a change, or a planned change, in who owns the practice. The founder of a Kent Town architecture studio is stepping back and two senior associates want to buy in over a few years. A structural engineering firm in Norwood has an approach from a national multidisciplinary group. A separating principal needs their share valued at a fixed date for a family law property settlement in the Adelaide registry of the Federal Circuit and Family Court. A professional indemnity claim or a dispute over fees needs its effect on earnings measured. Or the practice is restructuring and needs a market value the ATO will accept.

Succession sits underneath almost all of it. Many Adelaide consultancies were built by founders now in their late careers, and their names and relationships still bring in the work. The real question is how much of that value can be handed to the next group of principals, at a price the practice's own profits can fund.

Which approach leads for an Adelaide consultancy

The Income Approach leads. A buyer of a consultancy is paying for its ability to keep winning and delivering commissions, so the valuation looks at what the practice earns across a series of projects instead of one twelve-month window.

We usually capitalise future maintainable earnings, with one difference from most sectors: maintainable earnings are normally drawn from five years of results, so a single large job ending early or running over does not decide the outcome. Before that step, each principal's drawings are swapped for a market salary covering the design, technical and management work they carry.

A discounted cash flow is kept for forward work that is truly committed, such as funded stages of a hospital, school or defence facility project, or a fixed term on a state government consultancy panel. When the pipeline is mostly bids and expressions of interest we do not forecast from it, because projecting income from work not yet won would overstate what the practice can count on.

Market cross-check

Sales of consultancies of the same discipline and scale help locate the result. These practices change hands less often than consumer businesses, so the evidence sets a band rather than a single number, and the report says where in that band this practice falls and why.

Asset cross-check

Debtors, unbilled fees, equipment and licences for design, modelling and analysis software are restated to what they would realise. The total is the floor, and in a practice carrying a large unbilled balance that floor can be substantial.

The adjustments that shape a consultancy's value

When two valuers reach different figures for the same practice, the gap usually opens at normalisation, so every adjustment is written into the report with its reason. These come up most in Adelaide design and engineering firms:

Architecture and engineering practices in Adelaide

Adelaide's consultancies fall into a few groups. The national multidisciplinary firms are based in the CBD, around the Square Mile and the East End, working on transport, health, education, defence and water projects across South Australia. Mid-sized structural, civil, geotechnical and building services engineers are spread through Kent Town, Norwood, Unley, Mile End and the inner west. Architecture studios, mostly small and run by their principals, gather in the East End, North Adelaide, Kent Town and Norwood, with residential designers working across the eastern suburbs, the coast from Glenelg south and the Adelaide Hills around Mount Barker.

The work behind the fees matters more than the address. A practice drawing income from naval shipbuilding at Osborne, defence facilities at Edinburgh, state road and rail programmes, the BioMed City health precinct around the Royal Adelaide Hospital or university and school building has a pipeline it can forecast with reasonable confidence, and contracted defence work in particular tends to run for years. A practice tied to private housing and apartment development moves with every turn of the building cycle. South Australia registers architects as individuals rather than practices, and engineering clients tend to follow the engineer they trust, so principal dependence is a practical risk: a structural or civil practice built around one senior engineer may struggle to keep its clients if that person leaves.

The wider economy these practices serve is growing. South Australia ended 2025 to 2026 with 174,310 actively trading businesses, a net increase of 5,613 (3.3 per cent), while construction businesses grew 3.4 per cent and professional, scientific and technical services businesses 3.6 per cent nationally over the year (Source: ABS, Counts of Australian Businesses, July 2022 to June 2026, released 18 August 2026). Consultancy fees track building and infrastructure activity, so these series bear directly on how much work there is to win.

How the report holds up when it is tested

Each report sets out at the start why it was prepared, the standard of value, the valuation date and the records relied on, and says plainly where any of them were incomplete. It then covers the approaches considered and the method used under each, lists every normalisation adjustment with its reason, and draws the results into a range, explaining in plain sentences how each one was weighted.

Consultancy valuations are tested in a handful of settings: a falling out between principals in the Supreme Court of South Australia, a professional negligence or fee claim in the District Court of South Australia where lost earnings are in issue, or a property settlement in the Federal Circuit and Family Court. Under the court's expert evidence rules the valuer's first duty is to the court, and an opposing expert will ask why five years were averaged, how unbilled work was handled and why the pipeline was or was not forecast. We prepare reports under APESB, APES 225 Valuation Services, and the certified valuer who signs each one will answer those questions directly.

Something to ask at the first meeting

Which assumption would an opposing expert go after, and what is the answer to it? A valuer who has finished the analysis can reply straight away.

Matching the report to the practice's decision

Choose an Indicative valuation if a retiring principal wants to see what an associate buy-in could look like, and whether the practice's profits could pay for it, before any terms are discussed. It is for internal decision-making and is not written for third party reliance. Choose a Summary report to admit a new equity principal, complete a merger or support a bank application. Choose a Detailed report for a family law settlement, a dispute between principals, or any matter in which a second expert will review the work.

Write the report for the most demanding person who will read it. If a court, the ATO, a lender or another expert might test the number, the full chain of reasoning has to be on the page.

Indicative

For internal decision-making. Useful for testing an offer, setting an expectation before a negotiation, or deciding whether to go to market. It is not written for third party reliance.

Summary

Sets out the approaches applied, the normalisation adjustments made and the reasoning behind the conclusion. The usual choice for a sale, an ownership change or a finance application.

Detailed

Applies and reconciles all relevant approaches in full. The level required where a court, the ATO, a lender or another expert will review the opinion.

Questions Adelaide principals ask about valuing a practice

We replace each principal's drawings with what it would cost to employ someone in that role, then capitalise the profit the practice earns across a normal run of commissions, usually measured over five years. The rate turns on three things: how heavily the practice leans on its principals, how much forward work is signed, and how reliably unbilled fees turn into cash. Sales of similar consultancies frame the range.
Because one commission can make or break a year in project work. A large job finishing early, or a stage slipping into the next financial year, can swing profit sharply, so averaging over a full cycle shows what the practice earns from an ordinary flow of commissions. That ordinary level is what a buyer pays for.
Unbilled work and debtor write-offs are first restated on one consistent, realistic basis across every year in the period, since uneven provisioning distorts consultancy accounts more than almost anything else. The amount expected to be collected at the valuation date is then revisited when business value is converted to equity value.
Only signed work carries real weight. Committed stages on a funded project, or a fixed-term appointment to a government panel, can be forecast and may justify a discounted cash flow. Bids, shortlistings and expressions of interest are not yet income, so they shape our view of risk but are not valued as earnings.
It can, where the work is contracted and does not all come from one source. Multi-year commissions tied to naval shipbuilding at Osborne, defence facilities at Edinburgh, state road programmes or hospital and university projects give a clear view of income and lower the risk loading. If most of that work flows through one prime contractor or one agency, the concentration offsets part of the benefit, and the end date of each commission is written into the forecast.
In most practices it is the largest single loading. South Australia registers architects as individuals, and engineering clients tend to hire the person whose judgement they trust, so relationships and sign-off often sit with one or two people. A practice with several senior designers or engineers, documented review procedures and repeat institutional clients keeps much more of its value when a principal steps back.
Certified reports are delivered from seven business days after the information arrives. That normally covers five years of financial statements, an aged schedule of unbilled work and debtors, a pipeline list separating signed commissions from proposals, principal remuneration and the office lease.
